SEBI-registered Mutual Fund Distributor. Registration number [CLIENT TO CONFIRM: SEBI mutual fund distributor registration number]. Not a registered investment adviser. Not a bank, not a lender, not a guarantor.

Stable Wave Consultants Pvt Ltd, CIN [CLIENT TO CONFIRM: CIN], registered office at [CLIENT TO CONFIRM: registered office address].

1. REGULATORY STATUS

1.1 Mutual fund distribution

Stable Wave Consultants Pvt Ltd is registered with the Securities and Exchange Board of India as a Mutual Fund Distributor, under registration number [CLIENT TO CONFIRM: SEBI mutual fund distributor registration number]. A distributor acts on the instructions of an investor and is compensated for distribution, whereas an investment adviser or portfolio manager advises on its own judgement under a fiduciary duty. The distinction is not technical: it changes who is responsible for the recommendation.

The firm does not manage portfolios, does not exercise discretion over assets, and does not receive a management fee. Distribution is carried out through the relevant asset management companies and their registrars and custodians. Scheme names, categories, benchmark details, expense ratios, exit loads and risk classification are as stated in the scheme's own Key Information Document, Statement of Additional Information and Scheme Information Document, which govern in the event of any inconsistency with anything on this site.

1.2 The firm is not a registered investment adviser

1.3 Lending relationships

The firm is not a bank, a non-banking finance company, an authorised institution, or a systemically important financial institution. It does not hold a licence from the Reserve Bank of India and is not subject to RBI's direct supervision as a lender. Its lending relationships are commercial referral and file-preparation relationships with regulated lenders, each of which lends in its own name, on its own credit appraisal, and on its own documentation.

1.4 SEBI registration details and registrar

2. LOAN FACILITATION DISCLOSURE

This clause applies to every personal loan, business loan, home loan, loan against property, car loan and credit card application that the firm arranges. It should be read before any application is submitted and before any fee is paid.

2.1 The firm arranges; it does not lend

Stable Wave Consultants Pvt Ltd acts as a facilitator and arranger. The firm prepares your file, presents it to lenders, negotiates within the lender's parameters, and monitors the application. It is not the lender, it does not disburse the facility, and it has no authority to approve, sanction or decline anything. Money is paid directly by the lender to you; the firm never holds or routes loan proceeds.

2.2 The lender decides, and approval is not guaranteed

Every lending decision rests entirely with the lender. The lender assesses credit independently, on its own credit appraisal criteria, using its own bureau and financials. No member of the firm can promise, assure, indicate or give a "reasonable expectation" of sanction. Nothing said by an advisor, written on this site, or implied by the pace of a file constitutes a commitment by any lender. A facility is approved only by a written sanction letter issued by the lender, and the terms in that letter are the binding terms.

2.3 Rates, tenures and figures are indicative bands only

Interest rates, tenures, processing fees, collateral requirements, eligibility thresholds, amounts, and turnaround times shown on this site and in any communication from the firm are indicative bands prepared for general guidance. They are derived from ranges quoted to us by lenders, are not quotations or offers, and do not bind any lender. Pricing depends on your credit profile, sector, vintage, security, the lender's cost of funds and market conditions at the time, and it may change without prior notice. Verify every figure against the lender's written offer before relying on it.

2.4 Your responsibilities

Applications are decided partly on the accuracy of what you submit. You must provide true, complete and current information, disclose existing obligations, and not alter, falsify or manufacture any document. Providing inaccurate information may lead to rejection, to the lender recovering an amount advanced, and in a material case to criminal proceedings. We act on the documents given to us; we cannot verify their accuracy on your behalf.

2.5 Regulatory position

The firm is not an agent of the Reserve Bank of India, does not receive directions from it, and cannot circumvent a lender's credit policy. It does not promise preferential treatment, does not pay an inducement to any banker's decision-maker, and does not represent itself as a government, RBI or SEBI approved intermediary.

3. INVESTOR RISK DISCLOSURE

3.1 NAV and market risk

Mutual fund units are priced at the Net Asset Value, calculated at the close of each business day. That NAV is a market price: it can fall as readily as it rises, and a decline can be rapid in a period of stress. There is no guarantee that you will be able to exit a scheme at the NAV shown, or at any particular price, on any particular day. Debt schemes are not deposits and are not guaranteed by any bank, the DICGC or the Government of India, notwithstanding the relative stability their label may suggest.

3.2 Read the documents

Before investing, read the scheme's Key Information Document, Statement of Additional Information, Scheme Information Document, and all addenda and product labelling issued from time to time. These contain the investment objective, the risk classification of the scheme, the expense ratio, the exit load, the asset allocation, the portfolio concentration, the benchmark and the tracking difference. The risk classification printed on a product page is indicative only and is not a guarantee of the risk you actually experience. If you do not understand a term in those documents, do not invest until you do.

3.3 Past performance does not indicate future returns

Every return figure, ranking, chart, portfolio commentary or performance comparison published by the firm is historical, is provided for illustration only, and is not a guarantee of future performance. Returns are not constant; past returns may not be realised in future. Investments in the same scheme, or in different schemes, will not have identical performance. Performance figures are stated net of the expense ratio as applicable at the relevant date, and a change in that ratio changes future returns. An allocation that performed well in one period may not perform well in the next.

3.4 Commission received by the distributor

As a SEBI-registered Mutual Fund Distributor, the firm, or an empanelled distributor through which a transaction is executed, receives a commission from the asset management company or from the distributor's own upstream. This commission is generally embedded in the scheme's expense ratio, which is borne by the scheme's investors whether or not the scheme was purchased through the firm. We do not add a separate sales load, entry charge or product fee on top of the stated expense ratio, and any exit load that applies is a charge of the scheme, set out in its Key Information Document, and not a charge by the firm. The specific commissions the firm is entitled to receive in respect of any scheme are disclosed in writing at the point of recommendation: [CLIENT TO CONFIRM: applicable distributor commission or trail disclosure format and the AMC list for which the firm is empanelled].

3.5 Suitability and your own assessment

Recommendations made by the firm under a signed mandate follow a documented risk profile and investment horizon taken from you at the outset, and those are recorded. Recommendations made informally, on this site, in a general conversation, or on a single question about a scheme are not, and are not advice. The suitability assessment is only as good as the information you give. You remain responsible for deciding that an investment is appropriate for you, for bearing the risk of it, and for monitoring it. This is not tax advice; the tax treatment of an investment depends on your individual circumstances and on tax law that changes.

4. CONFLICT OF INTEREST AND FEE DISCLOSURE

4.1 The two ways the firm is paid

Lender referral fee

Where a lender pays a referral or arrangement fee in connection with a facility it sanctions, the firm may receive it. It is set by the lender's policy, not by us, and it does not reduce the amount you borrow or the interest you pay, because it is not deducted from your loan account.

Distributor trail commission

Where a mutual fund transaction is routed through the firm, the firm or an empanelled distributor receives a commission or trail commission from the asset management company. It is embedded in the scheme's expense ratio and is borne by all investors in the scheme, not only by you.

4.2 How a conflict is actually handled

A conflict is not avoided by pretending it does not exist. Where the firm would earn from two sides of the same transaction — for example a lender referral fee and an investment commission on the same business — that position is disclosed to you in writing before anything is executed, together with the amount or the basis of each fee, so that you can judge it for yourself. The firm's fee note for every mandate is a written document, issued before engagement, not an invoice discovered afterwards: [CLIENT TO CONFIRM: fee schedule or arrangement-charge structure to be referenced here, including whether a platform or arrangement fee is charged].

4.3 What we do not do

• We do not charge a fee that is not written down before you engage us, and we do not vary it retrospectively.
• We do not accept or pay any inducement, kickback or bribe to influence a credit decision, a sanction or a purchase.
• We do not recommend a product to earn a fee from it, and we will decline a mandate where the only sensible structure pays us.
• We do not buy or sell a scheme for a position in it, and we do not accept an allocation in kind as consideration.
• We do not publish a ranking or a "best scheme" list without stating the criteria and the conflicts that produced it.
• We do not accept a client engagement where any party asks us to conceal a fee, a trail or an adverse fact.

5. NO GUARANTEE AND NO SOLICITATION

Nothing published on this website, and nothing said by an advisor in a general conversation, is an offer, a solicitation, an invitation to deal, or a guarantee of any loan, sanction, interest rate, investment return, income, or business outcome. The existence of a published rate band, an eligibility criterion, a case study, a testimonial or an illustrative calculation does not mean that any particular applicant will qualify, and does not bind any lender, fund house or regulator.

An investment in a mutual fund scheme is an offer of units by the relevant asset management company, made to you and accepted by you in accordance with the scheme's documents and the applicable rules. It is not made by the firm. A loan facility is an offer by the lender to the borrower on the lender's own terms. The firm communicates the existence of such an offer; it does not make one.

Case studies, client outcomes, volumes facilitated and figures quoted on this site are historical and are provided to illustrate method, not to project an outcome for you. Particular results are not indicative of future results and should not be relied on as a representation of what will happen in your case. Where a figure is described as "indicative" on this site, it is a band for guidance only.

Testimonials and quotes appear with the client's consent and reflect that client's experience, which depended on their own circumstances, sector, timing, documentation and market conditions. They are not a promise to any reader that the same experience is available.

6. ACCURACY AND CURRENCY OF INFORMATION

All content on this website is published in good faith, on the basis of information the firm believes to be reliable at the time of writing. It is provided for general information and education only. It is not a substitute for advice from a qualified financial, tax, legal or accounting professional who has seen your circumstances, and it should not be relied on as the sole basis for any financial decision.

6.1 Rates and terms change without notice

Interest rates, fees, tenures, eligibility conditions, product features, tax rates, regulatory requirements and scheme particulars change frequently and may change without notice to the firm. The site is updated periodically but not continuously, and a page may be out of date at any time between updates. Always verify a figure against the lender's written offer or the scheme's current Key Information Document at the point of decision.

6.2 Errors

We correct errors when we identify them and we welcome notice of any inaccuracy, at [CLIENT TO CONFIRM: email address for reporting an error or correction in published content]. An error identified after the fact does not create an entitlement, a refund or a claim. Nothing on this site misrepresents the firm as regulated in any respect where it is not, and no statement should be read as a representation that the firm is authorised to do something it is not permitted to do.

6.3 External information

Where the site links to or summarises information published by a lender, an asset management company, a registrar, a regulator or a data provider, that information remains the property and responsibility of its owner. The firm does not warrant its accuracy or completeness and is not responsible for it. See clause 7 of our Terms of Use for the general position on third-party content.

7. GRIEVANCE REDRESSAL

Complaints are handled by a Grievance Officer who is independent of the advisor handling the file and reports directly to the firm's management. Raise a complaint in writing, describe what happened and when, and state the outcome you are seeking.

7.1 Response timelines

The firm acknowledges a complaint within [CLIENT TO CONFIRM: number of working days to acknowledge a complaint] and provides a reasoned written response within [CLIENT TO CONFIRM: number of working days to provide a reasoned response]. If the outcome is not satisfactory, the complaint escalates to the firm's Managing Director for review. A complaint about a personal data matter is handled under the procedure in our Privacy Policy.

7.2 Escalation pathways

• Mutual fund investments. First to the Grievance Redressal Officer of the relevant asset management company or Key Information Document, then to SEBI's online complaint portal at sebi.gov.in, and thereafter to the Stock Exchange Interconnect or the relevant stock exchange. Timelines are prescribed by SEBI and are not extended by an internal delay on our part.
• Loan servicing. The lender's own grievance redressal officer first. If the lender is a bank, the Banking Ombudsman; if it is a non-banking finance company, the ombudsman scheme administered by the NBFC-APA; if it is a fintech lender, the ombudsman scheme applicable to that category of lender. We will tell you which applies to your facility.
• Our own conduct, disclosures or fees. Escalation to the firm's Managing Director as described in clause 7.1, and thereafter arbitration and the courts as set out in clause 11 of our Terms of Use.
• Personal data. The Data Protection Board of India once the applicable provisions are in force, and the adjudicatory forums under the Digital Personal Data Protection Act, 2023.

The firm treats a complaint made in good faith to a regulator, an ombudsman or the National Cyber Crime Reporting Portal as a protected act. Nothing in any engagement letter with the firm restricts that right, and we will support its resolution.

Nothing here commits you. Ask the hard question first

If any clause on this page is unclear, or if the arrangement does not sit right, ask before you sign anything. We would rather answer an awkward question today than defend ourselves later.
